Unpack Labs Inc. (together with its affiliates and subsidiaries, “Unpack Labs,” “we,” “us,” or “our”) provides this website, HelloPortico.com (the “Website”), all related subdomains, and all portals, applications, products, services, events, and any interactive features, together with any other related Unpack Labs services (individually and collectively with the Website, referred to as the “Site”) as part of the services it offers and provides to its customers and any other Internet users that access the Site. Your use of the Site is subject to these Terms of Use (“Terms”), and using the Site signifies your acceptance of these Terms. If you do not accept and agree to all provisions of these Terms, you may not use the Site or any of the services offered or provided on the Site.

We reserve the right to modify these Terms at any time. If we propose to make any material change to these Terms, we will prominently post a notice regarding such change on the Website. Any material changes to these Terms will be effective seven (7) days after posting the updated Terms on the Website. Each time you use the Site you will be bound by any changes we have made, once effective. If you do not agree to these Terms, do not access, use, or browse the Site.

Right to Use the Site

• Disclose or share users’ Site passwords with any unauthorized third parties or use users’ Site passwords for any unauthorized purpose.
• Transmit, post, or upload any files that contain viruses, corrupted files, software, or programs that may interfere with or disrupt the Site, or any servers and networks that connect to the Site.
• Intentionally violate any applicable treaty, law, regulation, or ordinance.
• Post or transmit any content for display on the Site, or distribution through use of the Site, including threatening, libelous, defamatory, obscene, scandalous, inflammatory, pornographic, or profane material.

All software used on the Site is the property of Unpack Labs or our software suppliers and is protected by applicable laws.

You can communicate with us using the ‘Submit’ or ‘Apply’ functions made available on various pages within the Site. All information submitted to us using such functions will be treated as non-confidential and non-proprietary to you, except as required by law.

Registered Accounts

To the extent you register or establish an account through the Site to make an application to Unpack Labs, you agree to abide by all ancillary terms specific to such account or functions. Additionally, if any such account requires an ID/password for access and use, you agree that: (i) only you may use your registered account(s); (ii) you will keep your account(s) and password(s) confidential and not authorize any third party to access or use any of your accounts on your behalf, unless we provide an approved mechanism for such use; (iii) you will contact us right away if you suspect misuse of your account or any security breach in your account services; (iv) you are responsible for all activities that take place through use of your accounts; and, (v) Unpack Labs will not be liable for any loss or damage arising from any use of your account(s), including without limitation, through failure to properly protect all personal passwords you establish for such accounts or functions.

If you choose to participate in Unpack Labs’ social media accounts on Facebook, Instagram, LinkedIn or other services, terms applicable to the relevant Unpack Labs social media account and the terms set forth below in Your Social Media Submissions will apply.

At such time that you violate any of these Terms, your permission to use the Site immediately terminates without the necessity of any notice. We retain the right to deny Site access to anyone for any reason in our sole discretion, including for violation of these Terms.

Indemnification

You shall indemnify, defend and hold harmless Unpack Labs and its respective partners, members, managers, officers, directors, employees, and hosting service providers from any loss, fine, damage, cost, liability, claim, and expense (including, without limitation, attorney’s fees) related to or arising from your use of the Site or your violation of these Terms or of the Privacy Policy, including, without limitation, any use, misuse, or improper disclosure of passwords used in connection with your registration(s) and accounts established at or utilized through the Site.

Unpack Labs shall not be liable to you for any direct, indirect, special, reliance, consequential or exemplary damages, including, but not limited to, loss of profits or data, loss of or damage to property, claims of third parties or any other damages whatsoever, whether arising as a contract, negligence or tort action, in connection with the use of, or the inability to use, the Site.

Unpack Labs does not endorse nor is Unpack Labs responsible for any of the third-party websites that may link to the Site. Any links to third-party websites contained in the Site are intended for informational purposes only; you access such third-party websites at your own risk. Your Social Media Submissions

In the event you post or upload content that you have created, which may include comments, photos, videos, or your social media identifier(s), to your social media accounts that you have tagged with #HelloPortico or other Unpack Labs-brand hashtags (collectively, “Social Media Submissions”), you hereby grant to Unpack Labs and its third-party service providers who provide content management services (collectively, the “Permitted Parties”) the perpetual, irrevocable, royalty-free, fully-paid, non-exclusive, transferable right and license to use your Unpack Labs tagged Social Media Submissions in any manner to be determined in the Permitted Parties’ sole discretion, including but not limited to on their webpages, on the Site, on social media pages operated by Unpack Labs, and in other promotional, marketing or advertising materials and programs, in any media or means now or hereafter known. You also hereby grant the Permitted Parties permission to use your username, real name, image, likeness, caption, location or other identifying information in connection with any use of your Social Media Submissions. You hereby represent and warrant that (i) you own all rights in and to your Social Media Submissions, (ii) you have permission from all person(s) appearing in your Social Media Submissions to grant the permissions granted herein; (iii) the Permitted Parties’ use of your Social Media Submissions as described herein will not violate the rights of any third party or any law; and (iv) you are not a minor. You hereby release, discharge and agree to hold Unpack Labs and the Permitted Parties harmless from any liability related in any way to the Permitted Parties’ use of your Social Media Submissions.
